These Terms of Service ("Terms") govern your use of the website texasdba.org (the "Site") and the Assumed Name filing services (the "Services") provided by Texas DBA Filing ("we," "us," or "our"). By using our Site or Services, you agree to these Terms.

1. Services Provided

Texas DBA Filing provides Assumed Name filing services in Texas, including:

• Searching for business name availability
• Preparing and filing Assumed Name paperwork with the appropriate county clerk's office
• Providing a filing confirmation and certificate
• Sending compliance reminders for renewal deadlines
• Providing access to an online document storage dashboard

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the authority to enter into these Terms on behalf of the business you are registering
• Provide accurate and complete information during the filing process

3. Service Term and Pricing

• Our Assumed Name filing service is priced at $99 (one-time flat fee)
• County filing fees are separate and vary by county — these government fees are paid in addition to our service fee
• Prices are subject to change with 30 days' advance notice

4. Payment

• Payment is due at the time of service
• We accept major credit cards and other payment methods as indicated on the Site
• If payment fails, we will attempt to notify you and may delay filing until payment is received

5. Your Responsibilities

You agree to:

• Provide accurate and current business and personal information
• Notify us promptly of any changes to your business name, address, or contact information
• Review and respond to documents and communications we send you in a timely manner

6. Filing Disclaimer

• We prepare and submit Assumed Name documents based on the information you provide
• We are not responsible for delays caused by the county clerk's office, incomplete information, or name availability issues
• Filing timelines are estimates and depend on county processing volumes
• Approval of your Assumed Name filing is at the discretion of the filing authority

7. Not a Law Firm

Texas DBA Filing is not a law firm and does not provide legal advice. Our Services are limited to Assumed Name filing assistance as described herein. For legal advice, consult a licensed attorney. We do not provide tax advice, business formation counsel, or legal representation.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from the Services is limited to the amount you paid for the Services in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for any damages resulting from delays in filing caused by events beyond our reasonable control

9. Cancellation and Refunds

• You may cancel your order at any time before we submit the filing by contacting us at support@texasdba.org
• Once a filing has been submitted to the county clerk's office, no refund is available for our service fee
• Government filing fees that have already been paid are non-refundable

10. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the state of Texas. Any disputes arising from these Terms or the Services will be resolved in the courts located in Texas.

12. Indemnification

You agree to indemnify and hold harmless Texas DBA Filing, its owners, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Services or violation of these Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Texas DBA Filing regarding the Services.
